Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Expedition Labs Inc. (“Expedition Labs,” “we,” “us,” or “our”) governing your access to DS Syncer and its related websites, applications, and services (collectively, the “Service”).

1. Acceptance and authority

By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you use DS Syncer for a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.

You must be at least 18 years old, or the age of legal majority where you live, and legally capable of entering into these Terms.

2. The Service

DS Syncer helps merchants connect commerce and supplier platforms and manage product, inventory, order, and fulfillment workflows. Available features depend on your plan, connected platforms, feature availability, and third-party API capabilities.

We may modify, add, suspend, or discontinue features. We will provide notice when reasonably practical if a material change significantly reduces paid functionality.

3. Accounts and authorized users

You must provide accurate account information and keep it current. You are responsible for all activity under your account, including activity by employees, contractors, and other users you authorize. You must protect passwords, tokens, API credentials, and devices used to access the Service.

Notify us promptly at hello@dssyncer.com if you suspect unauthorized access or a security incident involving your account.

4. Connected services and authorization

The Service depends on third-party platforms such as Shopify, AliExpress, payment providers, and other commerce services. By connecting a platform, you authorize Expedition Labs to access, use, store, and transmit data through that platform as necessary to provide the features you select.

You represent that you have all rights, permissions, notices, and consents required to connect each account and allow DS Syncer to process its data. You remain responsible for complying with the terms and policies of connected services.

Third-party services are not controlled by Expedition Labs. Their availability, APIs, data, security, and terms may change without notice. We are not responsible for third-party outages, actions, omissions, or changes that affect the Service.

5. Your data and responsibilities

As between you and Expedition Labs, you retain ownership of data you submit or authorize DS Syncer to access (“Customer Data”). You grant Expedition Labs a limited, non-exclusive right to host, copy, process, transmit, modify, and display Customer Data only as needed to provide, secure, support, and improve the Service and comply with law.

You are responsible for:

  • the accuracy, legality, quality, and source of Customer Data;
  • providing legally required notices and obtaining required consent from customers and other individuals;
  • reviewing synchronized products, prices, inventory, orders, addresses, taxes, shipping, and fulfillment information;
  • maintaining appropriate backups and records in your source platforms; and
  • your products, suppliers, storefront, customer service, refunds, taxes, regulatory obligations, and commercial decisions.

DS Syncer is an operational tool, not the system of record for your business. You should verify important changes before relying on them.

6. Acceptable use

You may not use the Service to:

  • violate law, regulation, intellectual property, or privacy rights;
  • sell counterfeit, prohibited, unsafe, deceptive, or unlawfully sourced products;
  • access accounts or data without authorization or bypass security controls;
  • introduce malware, disrupt the Service, overload infrastructure, or interfere with another user;
  • reverse engineer or copy the Service except where a restriction is prohibited by law;
  • scrape, resell, sublicense, or provide the Service to third parties except as expressly permitted; or
  • use the Service to build or train a competing product without our written permission.

We may investigate suspected violations and suspend access when reasonably necessary to protect the Service, users, third parties, or Expedition Labs.

7. Fees, billing, and plan limits

Paid plans are billed in advance on a recurring basis through the applicable platform or payment provider. Prices, taxes, billing periods, product limits, order limits, and retention periods are shown when you subscribe or change plans.

You authorize the applicable billing provider to charge fees and taxes until cancellation. Except where required by law or expressly stated otherwise, payments are non-refundable. Canceling stops future renewal but does not automatically refund the current billing period.

If usage reaches a plan limit, affected synchronization may pause or be restricted. Downgrades may deselect products, reduce retained order history, or take effect at the next billing cycle as described in the Service.

8. Intellectual property and feedback

The Service, including its software, design, documentation, trademarks, and content, is owned by Expedition Labs or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your internal business purposes.

If you provide ideas or feedback, you grant Expedition Labs a perpetual, worldwide, royalty-free right to use it without restriction or obligation.

9. Confidentiality

Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use such information only to perform under these Terms and will protect it using reasonable care. This obligation does not apply to information that is public through no breach, already known without restriction, independently developed, or lawfully received from another source.

10. Suspension and termination

You may stop using the Service at any time and may cancel a paid subscription through the available billing controls. We may suspend or terminate access for non-payment, material breach, security risk, unlawful conduct, harm to the Service or third parties, or when required by a platform or law.

On termination, your right to use the Service ends. Provisions that by their nature should survive will remain in effect, including payment obligations, intellectual property, disclaimers, liability limitations, indemnity, and dispute provisions.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Expedition Labs disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or compatible with every platform; that synchronized data will always be complete or current; or that suppliers, products, orders, inventory, pricing, shipping, tracking, or third-party services will meet your requirements.

12. Limitation of liability

To the maximum extent permitted by law, Expedition Labs and its directors, officers, employees, affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities, even if advised that such damages are possible.

To the maximum extent permitted by law, the total aggregate liability of Expedition Labs arising out of or relating to the Service or these Terms will not exceed the greater of (a) the fees you paid to Expedition Labs for the affected Service during the three months before the event giving rise to liability or (b) USD $100.

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.

13. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Expedition Labs and its directors, officers, employees, and affiliates from third-party claims, damages, losses, and reasonable legal fees arising from your Customer Data, products, store operations, violation of law or third-party rights, connected accounts, or material breach of these Terms.

14. Governing law and disputes

These Terms are governed by the laws applicable in the jurisdiction where Expedition Labs Inc. is incorporated, without regard to conflict-of-law rules. Courts with jurisdiction over Expedition Labs Inc. will have exclusive jurisdiction over disputes arising from these Terms or the Service, except where applicable law gives you the right to bring a claim elsewhere.

15. Changes to these Terms

We may update these Terms from time to time. We will post the revised Terms with a new “Last updated” date and provide additional notice when required. Continued use after the effective date of revised Terms constitutes acceptance of the changes.

16. General

These Terms and referenced policies are the entire agreement concerning the Service and replace prior agreements on the same subject. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a corporate transaction or by operation of law.
